1. Acceptance of Terms

Welcome to Centralize AI. By accessing or using our website at centralize.ai, our platform, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Centralize AI ("Company," "we," "us," or "our"). By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Centralize AI is an AI-powered property management platform designed for multifamily operators. The Service provides tools including, but not limited to, workflow automation, autonomous AI agents, lease management, maintenance coordination, resident communications, and financial reporting.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes in advance.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to the following:

• You will provide accurate, current, and complete information during registration.
• You will maintain and promptly update your account information to keep it accurate and complete.
• You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• You will notify us immediately at hello@centralize.ai if you suspect any unauthorized access to or use of your account.
• You may not share your account credentials with third parties or allow others to access your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the servers on which the Service is hosted, or any server, computer, or database connected to the Service.
• Use the Service to transmit any malicious code, viruses, or harmful data.
• Use any automated system, including bots, scrapers, or similar tools, to access or interact with the Service in a manner not expressly permitted by us.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service.
• Use the Service to store or process data in violation of applicable privacy or data protection laws.
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

5. Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Centralize AI or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to or create within the Service ("User Content"). By using the Service, you grant Centralize AI a limited, non-exclusive, worldwide license to use, process, and store your User Content solely for the purpose of providing and improving the Service.

Nothing in these Terms grants you any right, title, or interest in the Service or its content beyond the limited right to use the Service as described in these Terms.

6. Payment Terms

Certain features of the Service may require payment of fees. If you choose to use paid features, you agree to the following:

• All fees are quoted in U.S. dollars unless otherwise specified.
• You will provide valid and current payment information.
• Fees are billed in advance on a recurring basis (monthly or annually), depending on the plan you select.
• All fees are non-refundable except as expressly stated in a separate written agreement or as required by applicable law.
• We reserve the right to change our pricing with at least 30 days' notice before the start of your next billing cycle.
• Failure to pay fees when due may result in suspension or termination of your access to the Service.

7. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

We implement commercially reasonable technical and organizational measures to protect data stored within the Service. However, no method of transmission over the Internet or method of electronic storage is completely secure. While we strive to protect your data, we cannot guarantee its absolute security.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Centralize AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the amount you have paid to Centralize AI in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Centralize AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

You may terminate your account at any time by contacting us at hello@centralize.ai or through your account settings, if available.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms. We may also terminate or suspend your account for any other reason at our sole discretion, with reasonable notice when practicable.

Upon termination, your right to use the Service will cease immediately. We will make your data available for export for a reasonable period following termination, after which we may delete your data in accordance with our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the "Effective Date" at the top of this page and, where appropriate, by sending you an email notification or displaying a notice within the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service.

13. Miscellaneous

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Centralize AI regarding the Service.
